    Equipment Rental Agreement

    Last updated: September 25, 2026

This agreement applies to equipment rented from Bright Frame Studios, LLC. A signed quote, rental order, master agreement, or other project-specific document may add to or modify these terms. If the documents conflict, the signed project-specific document controls.

    1. Agreement and parties

Bright Frame Studios, LLC (the “Rental House,” “Bright Frame Studios,” “we,” or “us”) rents the equipment identified in an accepted quote, order, invoice, equipment list, or checkout summary (the “Equipment”) to the business or person placing the order (the “Renter,” “you,” or “your”). By signing or accepting an order, submitting a rental request that we approve, paying an invoice or deposit, or taking possession of Equipment, you accept this Equipment Rental Agreement and our Terms & Conditions. The person accepting for a company represents that they are authorized to bind that company.

    2. Orders and availability

A request, cart, or automated confirmation is not final acceptance of an order. All rentals remain subject to availability, identity and credit review, insurance approval, payment, and written confirmation from Bright Frame Studios. We may decline an order, limit quantities, or provide a reasonably comparable substitute when the requested item becomes unavailable. We will notify you of any material substitution before release whenever reasonably possible.

    3. Rental period

The rental period begins when the Equipment is picked up, delivered, or otherwise placed in your custody and ends only when all Equipment is returned to and accepted by Bright Frame Studios at the agreed location. Dates and return times appear on the applicable order. Early return does not reduce the agreed rental charge unless we approve a credit in writing. Extensions require advance written approval and remain subject to availability and additional charges.

    4. Charges, deposits, and payment

    • Rental charges, taxes, delivery or pickup charges, and payment dates are stated on the accepted order or invoice.
    • A deposit or other payment may be required to reserve Equipment and dates.
    • Approved account terms apply only when confirmed by Bright Frame Studios in writing.
    • You authorize us to charge an approved payment method for agreed rental charges and amounts due for extensions, missing items, damage, cleaning, or other obligations under this agreement.
    • You are responsible for reasonable collection costs, including attorneys’ fees where permitted by law, for overdue amounts.

    5. Cancellation and changes

Cancellation, rescheduling, and reduction charges follow the accepted quote or order. Unless that document states otherwise, deposits are non-refundable and cancellations made within 14 days of the rental start may be charged up to the full order value. Changes are not effective until Bright Frame Studios confirms them in writing. Equipment removed after preparation or dispatch may remain billable.

    6. Pickup, delivery, and return

You must provide accurate site, access, loading, contact, and scheduling information. An authorized adult must be available to receive Equipment. You must count and inspect the Equipment promptly and report shortages, visible damage, or operational issues immediately. Equipment must be returned by the stated date and time, properly packed in its supplied cases, with all accessories, cables, media, mounts, stands, covers, and other components. Delivery or transportation does not include installation, operation, or technical labor unless expressly listed on the order.

    7. Inspection and acceptance

You may inspect and test the Equipment when it is released. Unless you promptly identify a problem, the Equipment will be considered received complete and in working condition. If Equipment malfunctions, stop using it when continued operation could cause damage or create a safety risk, protect it from further harm, and contact Bright Frame Studios immediately. Do not repair or open Equipment without our written approval.

    8. Care and permitted use

    • Use Equipment only for lawful professional purposes and according to manufacturer instructions, rated loads, and applicable safety requirements.
    • Only qualified personnel may operate, install, rig, power, or supervise specialized Equipment.
    • Do not alter serial numbers, firmware, wiring, safety devices, or physical components without written approval.
    • Do not sell, pledge, sub-rent, transfer, abandon, or relocate Equipment from the approved venue or area without written consent.
    • Keep Equipment secure and protected from weather, water, sand, smoke, hazardous substances, unstable power, impact, theft, and unauthorized access.

    9. Risk of loss, theft, and damage

You bear the risk of loss, theft, destruction, and damage from the time the Equipment enters your custody until we inspect and accept its return, except to the extent directly caused by Bright Frame Studios’ gross negligence or willful misconduct. You must notify us immediately of any incident and promptly provide police, venue, carrier, witness, insurance, and other reports we reasonably request. You are responsible for reasonable inspection, cleaning, repair, replacement, recovery, and loss-of-use costs resulting from missing or damaged Equipment, less amounts actually recovered from applicable insurance. Replacement value is based on the cost to obtain the same item or a reasonably comparable current replacement.

    10. Insurance

Before Equipment is released, we may require a certificate of insurance in a form and amount we approve. Coverage may include rented equipment or inland marine coverage at replacement value and commercial general liability coverage, with Bright Frame Studios named as loss payee and/or additional insured as appropriate. Insurance does not limit your responsibilities under this agreement. A deductible or coverage denial remains your responsibility.

    11. Late, incomplete, or unreturned Equipment

Equipment returned after the agreed deadline may be billed at the then-current rental rate for each additional rental period, together with reasonable costs caused by the delay. Missing accessories or incomplete kits remain on rent until returned or paid for. If Equipment is not returned after notice, we may treat it as lost, pursue recovery, and charge replacement and related costs. You may not keep Equipment by paying its replacement value unless we agree in writing.

    12. Ownership and access

Bright Frame Studios or its supplier retains title to the Equipment at all times. You acquire no ownership interest. You must keep the Equipment free from liens and legal process and notify us immediately of any attempted seizure. Where legally permitted and reasonably necessary to protect the Equipment, you will provide access for inspection or recovery following default.

    13. Default and remedies

You are in default if you fail to pay when due, misuse or endanger Equipment, provide materially inaccurate information, fail to maintain required insurance, become insolvent, or breach this agreement. After default, and subject to applicable law, we may cancel the order, require immediate return, recover Equipment, suspend account privileges, apply deposits or credits to amounts due, and pursue other available remedies. These remedies are cumulative.

    14. Limited warranty and renter remedies

We inspect Equipment before release and warrant only that it will be in serviceable condition at that time. If you promptly report a verified malfunction not caused by misuse, conditions at the site, incompatible equipment, or unauthorized changes, our obligation is limited, at our option, to repair, replace, provide a reasonable substitute, or credit the affected rental charge. Except as required by law, Equipment is otherwise provided as available, without implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

    15. Limitation of liability

To the fullest extent permitted by law, Bright Frame Studios is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including lost revenue, lost recordings, missed production time, business interruption, or third-party commitments, arising from delay, malfunction, substitution, or use of Equipment. Our aggregate liability connected with an order will not exceed the rental charges actually paid for the affected Equipment. These limitations do not apply where prohibited by law or to liability caused by our gross negligence or willful misconduct.

    16. Indemnity

To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Bright Frame Studios and its owners, employees, agents, and suppliers from third-party claims, losses, damages, and reasonable expenses arising from your possession, transport, setup, operation, or use of the Equipment; your breach of this agreement; or the acts or omissions of your personnel, contractors, guests, or vendors, except to the extent caused by the indemnified party’s gross negligence or willful misconduct.

    17. Force majeure

Neither party is liable for delay or failure caused by events beyond reasonable control, including severe weather, natural disaster, governmental action, labor disruption, transportation interruption, utility failure, or public emergency. Payment obligations already incurred and your duty to protect and return Equipment remain in effect. The parties will work in good faith on practical scheduling alternatives when possible.

    18. Governing law and general terms

Louisiana law governs this agreement without regard to conflict-of-law rules. The parties will first attempt good-faith resolution of any dispute. Any unresolved action must be brought in the state or federal courts serving Jefferson Parish, Louisiana. If any provision is unenforceable, the remaining provisions continue in effect. Waiver of one breach is not a waiver of another. Electronic records, electronic signatures, and accepted online orders may be used as originals. You may not assign this agreement without our written consent.
